FAQs

Which legal structure is “best”, depends on your specific business needs and goals. Factors to consider include type of business, liability protection, taxation, ownership structure, ease of operation and whether you plan to raise capital from investors. Contact us for a business structuring consultation and we will answer this question for you.
-
“Fractional general counsel” is a flexible and cost-effective way for you to bring in-house legal expertise to your business by hiring us on a subscription basis. An experienced former in-house lawyer, Tina is business-minded and dedicated to proactive legal risk management and cost-effective legal solutions. We will effectively act as in-house counsel by dedicating a certain number of hours to your business a month to answer your legal questions and provide general legal support.

A legal template service like Legal Zoom can be a great starting point but may not fully address your specific needs. Consulting an experienced business lawyer can help you avoid pitfalls you are not aware of and come up with creative solutions to fit your particular situation.
While generative AI large language models (LLMs) like ChatGPT are impressive, even the best law specific LLMs remain prone to mistakes that are hard to identify if you are not familiar with legal language and drafting conventions, do not know how to check underlying statutes and case law and are unfamiliar with industry practice.

Becoming a part-owner of the business you work for should be treated like the purchase of any business: you should retain a lawyer as early in the process as possible. Contact us and we can help you negotiate the term sheet, conduct due diligence, and make sure the correct legal documentation is put in place.
